Welcome to Session Pass. By accessing or using sessionpass.io ("Service"), you agree to these Terms of Service ("Terms").
1. ACCEPTANCE OF TERMS
By using our Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.
2. DESCRIPTION OF SERVICE
Session Pass is a marketplace for booking recording services from studio sessions to gear rental and production services. We reserve the right to modify, suspend, or discontinue the Service at any time.
3. ACCOUNT REGISTRATION
You must provide accurate information when creating an account. You are responsible for maintaining the security of your account credentials and for all activities under your account.
4. GOOGLE ACCOUNT INTEGRATION
If you connect your Google account, you authorize us to access the Google services you approve. You may revoke this access at any time through your Google Account Settings (https://myaccount.google.com/permissions). Our use of Google data is governed by our Privacy Policy and Google's API Services User Data Policy.
5. BOOKINGS
- All non-label bookings require an advance 50% deposit.
- A P.O. Number is required for all label bookings.
- Sessions will be billed according to the agreed-upon schedule.
- A 5% late fee will be applied to any overdue invoices starting the day after their due date.
6. CANCELLATION POLICY
- Cancellations made within 24 hours of the scheduled session will be billed at 100% of the session rate.
- Cancellations made within 48 hours will be billed at 50% of the session rate.
- Clients who provide at least 48 hours' notice may reschedule once without penalty, subject to availability.
- This policy applies to all bookings, including label sessions. Labels will be invoiced accordingly for late cancellations.
7. SESSION START & END TIMES
- Start Time: Sessions begin at the scheduled start time, regardless of when the client arrives. Late arrivals will not extend the session time.
- End Time: Sessions must end at the scheduled time to avoid disrupting other bookings. Extensions are subject to availability and billed at standard or overtime rates.
- Early Departures: Clients leaving early will still be billed for the full booked time.
- Early Session End: Sessions ending early will still be billed until the booked end time.
- Grace Period: A 15-minute grace period may be allowed at the studio's discretion for wrap-up (e.g., file transfers). Additional time beyond this will be billed as overtime.
8. GUEST POLICY
- Studio Conduct: Guests must respect the studio environment. Excessive noise, disruptive behavior, or interference with equipment will not be tolerated.
- Liability: The booking client is responsible for their guests' behavior. Any damages caused by guests will be charged to the client.
- Minors: Guests under 18 years old must be accompanied by an adult.
9. PAYMENT TERMS & LATE FEES
- Deposits: All non-label bookings require a 50% deposit in advance.
- Remaining Balance: The final 50% payment is due before the session starts.
- Late Fees: A 5% late fee will be applied per week after the due date until paid in full.
- Accepted Payment Methods: ACH, credit card, Zelle, PayPal, and Square are accepted.
- Disputed Payments: Any charge disputes must be reported within 7 days of the invoice date.
10. ENGINEER & STAFF POLICY
- Assistant Engineers: An assistant engineer is required for all sessions and is included in the studio rate.
- In-House Engineers: Available for an additional fee if requested in advance.
- Engineer Minimum: Engineers must be booked for a minimum of 4 hours.
11. OVERTIME POLICY
- Overtime Rate: Any time exceeding 12 hours will be billed at double the standard hourly rate.
- Approval: Overtime is subject to studio availability and must be approved by staff.
- Applies to All Studios: Overtime rules apply equally to all studio bookings.
12. MEDIA & INTELLECTUAL PROPERTY
- File Storage: Session Pass is not responsible for storing session files after the session ends. Clients must bring their own hard drives or request transfers before leaving.
- File Transfers: Transfers can be provided via WeTransfer, Dropbox, or other cloud services upon request.
- Ownership: Clients retain all rights to their recorded material. Session Pass claims no ownership.
13. PROHIBITED ACTIVITIES & CONDUCT
- Substance Use: Smoking is allowed inside studios where permitted. Excessive intoxication or disruptive behavior is not tolerated.
- Alcohol Policy: Alcohol is permitted. Reckless behavior, spills, or damage due to intoxication may result in immediate session termination.
- Session Termination: Session Pass reserves the right to end any session immediately without refund if clients or guests engage in unacceptable behavior.
- Liability: Clients are responsible for damages or injuries caused by themselves or their guests.
14. SECURITY & LIABILITY WAIVER
- Personal Belongings: Session Pass is not responsible for lost, stolen, or damaged personal items. Clients should keep valuables secure.
- Security Measures: Common areas may be monitored with security cameras. Session Pass is not liable for incidents outside its control.
- Liability Waiver: Clients and their guests use the studio at their own risk. Session Pass is not responsible for injuries, accidents, or property damage during sessions.
- Power Outages: Session Pass is not liable for power outages or resulting consequences.
15. INDEMNIFICATION
Clients agree to indemnify, defend, and hold harmless Session Pass, its owners, employees, and affiliates from any claims, damages, losses, or liabilities arising from:
- Injuries, accidents, or property damage occurring on the premises.
- Unauthorized use of copyrighted material recorded at Session Pass facilities.
- Actions by clients or their guests that result in harm to Session Pass or third parties.
16. ACCEPTABLE USE
You agree not to:
- Violate any applicable laws or regulations
- Infringe on intellectual property rights
- Transmit malware or harmful code
- Attempt to gain unauthorized access to our systems
- Use the Service for fraudulent purposes
- Interfere with other users' use of the Service
17. THIRD-PARTY SERVICES
Our Service may integrate with third-party services. Your use of those services is governed by their respective terms and policies.
18. DISCLAIMER OF WARRANTIES
THE SERVICE IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
19. LIMITATION OF LIABILITY
TO THE MAXIMUM EXTENT PERMITTED BY LAW, SESSION PASS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM YOUR USE OF THE SERVICE.
20. TERMINATION
We may terminate or suspend your account at any time for violations of these Terms. Upon termination, your right to use the Service ceases immediately.
21. GOVERNING LAW
These Terms are governed by the laws of the State of California, USA, without regard to conflict of law principles.
22. CHANGES TO TERMS
We may update these Terms at any time. Continued use of the Service after changes constitutes acceptance of the new Terms.
